Terms of Service

1. Agreement

These Terms of Service ("Terms") form a legal agreement between you (the "Customer") and Roogify LLC, a Wyoming, USA limited liability company with registered agent address at 30 N Gould St, STE R, Sheridan WY 82801 ("Roogify", "we", "us", "our"). By signing up for the Roogify service, by using roogify.com, or by accepting a quote and paying an invoice, you agree to be bound by these Terms.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. In that case "Customer" refers to that entity.

If you do not agree to these Terms, do not use the service.

2. The service

Roogify provides a website-as-a-service product. In plain terms, that means:

  • We design and build a website for your business, using information you provide and reasonable assumptions on your behalf.
  • We host the website on infrastructure operated by us and our subprocessors.
  • We connect a domain name of your choice to the website after your first payment clears.
  • We make ongoing changes to the website — copy edits, new pages, photo swaps, contact detail updates — when you ask us to, within the scope described on roogify.com.
  • We provide a contact form on the website that delivers enquiries straight to a business email address you nominate.

The service is provided on a subscription basis. There is no fixed-term contract.

3. Subscription, pricing, and billing

The current subscription fee is $249 per month, in United States dollars (USD). This price is fixed for the duration of your subscription unless we give you at least 30 days' written notice of a change.

Billing is recurring and monthly. There is no setup fee. You may cancel at any time (see Section 4). Payment is processed by our payment processor, Stripe, and is charged in advance for the upcoming month of service. Any applicable taxes are added at checkout.

If a payment fails, we will retry it automatically over a seven-day grace period. If the payment still has not succeeded after that, we will suspend the service. If a further 30 days pass without successful payment, we will cancel the subscription and may delete the associated website. We will email you at each step.

4. Cancellation and refunds

You may cancel your subscription at any time. The two equivalent ways to do this are:

  • From the customer account area, if one is available to you.
  • By emailing team@roogify.com and asking to cancel. A reply from your registered business email address is sufficient.

Cancellation takes effect at the end of the current billing cycle. We do not prorate refunds for partial months — once a monthly fee is charged, the service is yours for that month. We do not charge any cancellation fee.

On request, we will provide a one-off export of the content of your website (text, images, structured data) within 30 days of cancellation. We do not provide source code or design files as part of the export, because those are part of the underlying Roogify product (see Section 6).

5. Acceptable use

You may not use Roogify to publish or distribute content that:

  • Is unlawful, fraudulent, or misleading.
  • Promotes or incites hatred, violence, harassment, or discrimination against any individual or group.
  • Contains adult or pornographic material, or material primarily promoting gambling.
  • Makes claims about regulated services — for example, financial advice, medical advice, legal advice, immigration advice — that you are not licensed or qualified to make in the jurisdiction in which you are operating.
  • Infringes someone else's intellectual property rights.
  • Distributes malware, phishing pages, or spam.

You are responsible for the accuracy of all business information you provide, including your trading name, registration details, opening hours, prices, and credentials. We do not independently verify the information you give us.

6. Intellectual property

You own all content you provide to us — your logos, photographs, written copy, customer testimonials, prices, and other business information. You grant us a non-exclusive, worldwide, royalty-free licence to use that content for the limited purpose of operating the service for you (hosting it, displaying it on your website, sending it as part of system emails).

We own the underlying Roogify product: the templates, the design system, the code, the deployment pipeline, and the customer-management infrastructure. You do not acquire any rights in that underlying product by being a customer.

On cancellation, we provide a content export (Section 4). We do not transfer ownership of, or provide a copy of, the underlying source code, design files, or infrastructure.

7. AI-generated content

We use generative AI tools (in particular Claude, by Anthropic PBC) as part of the production process. AI may be used to draft initial copy for your website, to suggest design choices, and to assist with replying to email enquiries.

All AI-generated content is reviewed by a Roogify operator before it goes live, and you receive a preview link before the website launches. You are responsible for reading the preview and telling us if anything is inaccurate, off-tone, or wrong before we publish.

Roogify is not liable for factual errors in AI-assisted content that you sign off on without review and that you allow to remain on a published page after the preview stage. You can ask us to remove or correct any item at any time.

8. Service level

We aim to keep the service running 24/7. We provide a best-effort uptime commitment. At our current price point we do not offer a formal Service Level Agreement (SLA) or service credits.

Where possible we will announce planned maintenance in advance. We are not liable for downtime caused by third-party processors (in particular Cloudflare, Vercel, Stripe, and Resend), by your domain registrar, or by events outside our reasonable control (a "force majeure" event — for example, large-scale internet outages, natural disasters, war, or industrial action).

9. Limitation of liability

To the maximum extent permitted by applicable law:

  • Roogify's total aggregate liability to you under or in connection with these Terms, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, is capped at the total amount of fees you paid to us in the 12 months immediately preceding the event giving rise to the liability.
  • Roogify is not liable for any indirect, incidental, consequential, special, or exemplary damages, including lost profits, lost revenue, lost data, or business interruption, even if we have been advised of the possibility of such damages.

Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited — for example, liability for death or personal injury caused by negligence, for fraud, or, in the United Kingdom, statutory consumer protections that apply by force of law.

10. Indemnity

You agree to indemnify, defend, and hold harmless Roogify and its officers, employees, and subprocessors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your breach of these Terms; (b) the content you supply for publication on your website; (c) your use of the service in a way that breaches Section 5 (Acceptable use); or (d) any false or misleading information you provide to us.

11. Suspension and termination

We may suspend or terminate your subscription, with or without notice, if:

  • You materially breach these Terms (including Section 5).
  • Your account becomes overdue and remains unpaid after the grace period described in Section 3.
  • We are legally required to do so — for example, in response to a court order.
  • We reasonably believe continuing to provide the service would expose us, you, or a third party to legal risk.

For non-payment we will give 30 days' notice before final cancellation. For severe breaches of acceptable use we may suspend the service immediately. We will always try to tell you the reason.

12. Changes to these Terms

We may update these Terms from time to time. For material changes we will give you at least 30 days' notice by email and by updating the date at the top of this page. Your continued use of the service after the notice period constitutes acceptance of the updated Terms. For changes that materially reduce your rights, we will ask you to explicitly accept the new Terms before they take effect.

13. Governing law and disputes

These Terms are governed by, and construed in accordance with, the laws of the State of Wyoming, United States of America, without regard to its conflict-of-laws principles. The parties submit to the non-exclusive jurisdiction of the state and federal courts located in Sheridan County, Wyoming, for the resolution of any disputes arising under or in connection with these Terms.

For Customers based in the United Kingdom: nothing in this clause limits any statutory consumer rights you may have under UK law, and nothing prevents you from bringing proceedings in the courts of your home jurisdiction where required by mandatory law. We agree to attempt good-faith resolution of any dispute by email before either party initiates formal proceedings.

14. General

Entire agreement. These Terms, together with our Privacy Policy and any order form or invoice we issue to you, are the entire agreement between you and Roogify regarding the service, and supersede any prior agreements or understandings.

Severability. If any part of these Terms is found to be unenforceable, the rest remains in full force and effect.

No waiver. A failure or delay by either party to enforce any provision does not constitute a waiver of that provision.

Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets.

Notices. Notices to Roogify must be sent to team@roogify.com. Notices to you will be sent to the email address on file for your account.
